Marketplace Apps Subscription Policy: ChapterSpot’s Marketplace Apps subscriptions run for an initial period of year(s) based on the subscription purchased. Subscriptions begin on the date the subscription is purchased. Typically, ChapterSpot offers either 1 (one), 2 (two) or 3 (three) year initial subscriptions. After the initial subscription term the service will be automatically renewed for successive 1 (one) year subscription terms. If the subscription is automatically renewed the client will be charged the standard price for a 1 (one) year renewal for the “App”, which may differ from their initial term price, and the client agrees for the payment of the renewal to processed through an automated bank draft (ACH) from the client’s bank account. Subscriptions can be canceled by the client given 30 (thirty) days written notice. At the time of the notice of cancelation the client’s services will be removed from their account. ChapterSpot’s “Apps” include the “Website App”, “RecruitmentPro App”, “Budget App” and other Apps. Other services ChapterSpot offers may have separate billing terms. If separate billing terms are listed for a specific product or service then those terms supersede the terms of the App Subscription Policy. To be clear, ChapterSpot’s Collection Pro service has specific billing procedures that are listed which supersede these terms.
Costs: $30.00 USD per member on a yearly basis. A year will be based on the academic year and will begin on July 1st and end on June 30th. This agreement will automatically be renewed each year on July 1st and your chapter will be charged using that payment information provided on that date.
The ChapterSpot Universal Core Features/Services ("Universal Features") are universal features which represent the set of features that are consistent across ChapterSpot's entire universe of clients. ChapterSpot shall provide each Client access to certain web-based tools and solutions as follows:
ChapterSpot reserves the sole and exclusive right to update, modify, or change any of these features without seeking Client's approval. Any request to modify or customize Universal Features must be separately negotiated with ChapterSpot and any such customization to Universal Features may require payment of an additional fee or fees and the execution of an additional Statement of Work.
The ChapterSpot Industry Specific Features/Services include:
ChapterSpot will provide each Client with a Budgeting Application which will enable Authorized Users with sufficient privileges to utilize online dues tracking and other expense and revenue tracking tools. Authorized Users with the appropriate privileges may access a financial overview section which tracks all Authorized Users’ payments and outstanding balances. Any Authorized User with the finance privilege may add transactions. Included on the web application will be basic budgeting tools which include expense tracking, profit and loss reporting, and budget reconciling tools. ChapterSpot reserves the sole and exclusive right to update, modify, or change any of these features without seeking Client's approval. Any request to modify or customize Industry Specific Features/Services must be separately negotiated with ChapterSpot and any such customization to Industry Specific Features/ Services may require payment of an additional fee or fees and the execution of an additional Statement of Work.
ChapterSpot shall also provide certain additional services to Client as detailed below:
a. Description of Service: ChapterSpot will provide the Client with account receivable services to obtain collection of various payments from Local Groups. Accounts receivable services will include mailed paper statements, electronic statements, collection calls from trained collection representatives, and automated phone messages.
b. Additional Cost: Cost of online payment processing.
c. Responsibilities of Client: Client is responsible for obtaining a ChapterSpot supported merchant account.
a. Phone/Email Technical Support. ChapterSpot shall provide reasonable email and phone based technical support for users of its web site services. ChapterSpot endeavors to respond to all requests for technical support within 48 hours but such requests are often handled sooner.
b. Initial User Training Sessions: ChapterSpot will provide initial user training to a limited number of participants to reasonably assist unique Client users in learning how to use the ChapterSpot website functionality; the initial training will be conducted via Go-To-Meeting® online meeting software or a similar tool. Onsite user training or additional online support is available if required for an additional fee.
Invoicing and Initial Client shall pay the total amount listed on this Service Order (both recurring and non-recurring fees). Payments owed on a monthly basis will be due on the first day of the month. Payments owed on a quarterly basis will be due on the first day of the quarter. Quarters are based on a calendar year with January 1st being the first day of the first quarter.
Additional Users: Total price is calculated using the Client’s total number of Active members that are scheduled to be billed as part of their membership in the Client’s organization. If Client bills members in excess of the number of members charged for in this invoice then ChapterSpot will charge the Client via automated ACH or Credit withdrawal for the excess members which Client is obligated to pay for. Client authorizes ChapterSpot to execute these automated charges and bank withdrawals. Excess members will be charged at the same rate as above.
Term: This Statement of Work shall become effective when the services are purchased by the Client and shall remain in effect through the next upcoming June 30th. Contract will automatically renew for successive One (1) Year Terms unless terminated by either party given 15 days written notice of this Agreement’s expiration.
Hardware/Software Requirements/Compatibility: Access to the web based tools and services are through a computer browser with internet connection. The site is designed to support the typical browsers of [Internet Explorer®, Chrome, Firefox®, and Safari®]. It is anticipated and even expected that the user will keep their browser current to the latest version. However sometimes the browser manufacturers release a major change that impact compatibility, in such events it may become the recommendation of ChapterSpot to user a prior browser version to maintain user experience. The typical platform is either a Windows® based desktop or laptop running Internet Explorer, Chrome, or Firefox or an Apple Macintosh® based desktop or laptop running Safari, Chrome, or Firefox. Although the layout of the web site has be built to work with the smaller screen space of Windows based netbooks or 10” tablets such as the iPad®, full compatibility should not be expected at this time. In general, users are free to try and access the site using browsers on their mobiles devices but limited compatibility should be expected.
